Terms of Service

Effective July 14, 2026

These Terms of Service ("Terms") are an agreement between ParleHub LLC, a North Carolina limited liability company ("ParleHub," "we," "us"), and the organization or individual creating or using a ParleHub account ("you," "your organization"). They govern your access to and use of the ParleHub shared AI workspace, including app.parlehub.com and related services (the "Service").

1. Acceptance of These Terms

By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if you're acting for an organization, on behalf of that organization — in which case "you" refers to that organization, and you confirm you have the authority to bind it. If you don't agree, don't use the Service.

2. The Service

ParleHub is a shared workspace for team AI conversations, organized into organizations and projects. Depending on your plan, the Service may include: shared conversation threads with live presence and search; project-level spend budgets; bring-your-own-key access to third-party AI model providers; single sign-on; managed or enterprise-native file storage; role-based access control; and an append-only audit log. Available features vary by plan — see Pricing and Security & Compliance for current details, which we may update from time to time.

3. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Accounts are created by an organization administrator, directly or through single sign-on with an identity provider (such as Microsoft Entra ID or Google Workspace) your organization configures. You're responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at legal@parlehub.com if you suspect unauthorized use.

4. Plans & Billing

ParleHub offers Free, Team, and Enterprise plans with different limits on seats, projects, storage, and features. Paid plans are billed through our payment processor, Stripe, on a recurring basis (with an initial trial period where offered) and renew automatically until canceled. Fees are charged in advance and, except where required by law, are non-refundable for partial billing periods. We may change plan pricing or features with reasonable advance notice; continued use of a paid plan after a price change takes effect constitutes acceptance of the new price. You're responsible for any usage charges you incur directly with a third-party AI provider under Section 5, which we do not bill or refund.

5. Your Own AI Provider Keys (BYOK)

The Service lets your organization connect its own API credentials for third-party AI model providers (currently Anthropic, OpenAI, Google, and Azure OpenAI) so your team can use those models through ParleHub. When you do this:

  • Your use of that provider's models is governed by your own agreement and that provider's own terms and acceptable use policies, in addition to these Terms.
  • You're solely responsible for the validity of your credentials, for any usage fees the provider charges you directly, and for your organization's compliance with that provider's policies.
  • We store provider credentials encrypted and never display them in full once saved, but we are not responsible for a provider's availability, pricing changes, output, or acts or omissions.
  • Content you send through a connected provider is transmitted to that provider as necessary to generate a response; it is not sent to any provider you haven't configured.

Where ParleHub instead offers managed, prepaid access to models on your behalf (rather than your own credentials), that access is subject to any additional terms presented at the time it's offered.

6. Enterprise Storage Connections

On eligible plans, a project may be configured to store its files in storage you control — such as a Microsoft SharePoint site or a Google Drive shared drive — instead of ParleHub's own managed storage. When you connect enterprise storage:

  • Your files remain in your own Microsoft 365 or Google Workspace tenant, governed by your agreement with Microsoft or Google, not by ParleHub.
  • ParleHub accesses that storage only through the permissions your administrator grants (for example, access scoped to a specific site or shared drive), to read, write, and search files as directed by your project members' use of the Service.
  • You're responsible for managing who has access to the connected storage location itself, independent of ParleHub's own project membership controls.

7. Your Content

"Your Content" means the conversations, prompts, files, and other materials you or your organization submit to the Service. You retain all ownership rights in Your Content. You grant ParleHub a limited license to host, process, transmit, and display Your Content solely as necessary to provide and support the Service (including sending it to the AI providers and storage locations your organization configures). We do not use Your Content to train our own foundation models, and we do not sell Your Content. You're responsible for having the rights necessary to submit Your Content and for its legality.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or to generate or store content that infringes others' rights or violates applicable law;
  • Attempt to circumvent budget controls, rate limits, or other technical safeguards, or otherwise abuse shared infrastructure in a way that degrades the Service for others;
  • Attempt to gain unauthorized access to another organization's data, reverse-engineer the Service, or probe it for vulnerabilities outside an authorized security engagement;
  • Resell or provide the Service to third parties outside your own organization without our written consent; or
  • Violate the acceptable use policy of any third-party AI provider or storage provider you connect through the Service.

9. AI-Generated Output

Responses generated through connected AI models may be inaccurate, incomplete, or unsuitable for your purpose — this is an inherent limitation of the underlying models, not something ParleHub controls or guarantees against. You're responsible for reviewing and validating any AI-generated output before relying on it, and especially before using it to inform legal, medical, financial, or other high-stakes decisions.

10. Intellectual Property

ParleHub and its licensors own all right, title, and interest in the Service itself, including its software, design, and trademarks, apart from Your Content. These Terms don't grant you any rights to our trademarks or branding without separate written permission.

11. Confidentiality

Each party may receive non-public information from the other in connection with the Service. Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms, except as required to be disclosed by law.

12. Term & Termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms and don't cure the breach within a reasonable time after notice, or immediately if needed to protect the Service or other customers. On termination, your right to access the Service ends; we'll make reasonable efforts to allow export of Your Content for a limited period afterward, except where you've requested earlier deletion.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARLEHUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO PARLEHUB IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

15. Indemnification

You agree to indemnify and hold ParleHub harmless from third-party claims arising from Your Content, your breach of these Terms, or your misuse of the Service. We agree to indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. We'll post the updated version here with a new effective date, and for material changes we'll make reasonable efforts to notify organization administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. General Terms

These Terms, together with our Privacy Policy, are the entire agreement between you and ParleHub regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events outside its reasonable control.
